What belongs in a legally sound GbR partnership agreement?
A GbR (Gesellschaft bürgerlichen Rechts) is the simplest form of a partnership under German law (§ 705 BGB et seq.). Theoretically, it is created as soon as two people pursue a common purpose – but without a written agreement, statutory default rules apply. In practice, this often leads to unsuitable standard arrangements, such as equal profit distribution regardless of individual work input.
A structured GbR partnership agreement therefore defines the rules of cooperation precisely. In addition to the company purpose and the partners' contributions, the power of representation towards third parties and internal responsibilities should be clearly regulated. This creates clarity for everyone involved and prevents future disputes.
