What Must Be Included in a GmbH Articles of Association?
The partnership agreement (often referred to as 'Satzung' or articles of association) is the legal foundation of any German GmbH. According to the German GmbH Act (GmbHG), there are mandatory minimum details required for registration in the commercial register. These include the company name, registered office, corporate purpose, share capital amount, and the contributions to be made by each shareholder.
Beyond these bare minimums, it is highly recommended to include customized regulations. These typically cover the appointment and dismissal of managing directors, specific voting majorities for key decisions, profit distribution rules, and clear guidelines for when a shareholder leaves the company.
